The following are the terms and conditions placed on these products:

        LIMITED USE LICENSE AGREEMENT AND REGISTRATION
  HEARTLAND COMPUTER CONSULTANTS (hereinafter referred to as  HCC),  hereby grants to the purchaser (hereinafter referred to as  USER) of the HEARTLAND COMPUTER CONSULTANTS Genysys 2000, and Genpro-7 Systems a  single,  non-transferable, non-exclusive license  to  use  the       program (herein-after referred to as the SOFTWARE) subject to the   following terms and conditions:
 
 
         Section  1. - Proprietary Rights of HCC: User  acknowledges  that
        HCC  has  a  valuable proprietary interest in  the  SOFTWARE  and
        documentation,  and  that unauthorized disclosure,  transfer,  or
        copying of the SOFTWARE or documentation is a violation of  state
        and  federal laws, and that title and ownership of  the  SOFTWARE
        and documentation shall remain with HCC at all times.
 
        Section  2.  - Reproduction of SOFTWARE  and  Documentation:  The
        SOFTWARE  is furnished for use on a single computer  system,  and
        may  be copied only for purposes of making  protective  "back-up"
        copies.   USER and USER's employees and agents will  protect  the
        proprietary nature of the SOFTWARE and will not distribute, copy,
        or  make available the SOFTWARE or it's  accompanying  documenta-
        tion,  or any portion thereof, to any third party, in  any  form,
        whether electronic, magnetic, printed or otherwise.
 
        Section  3.  - Limited Warranty: HCC warrants that  the  magnetic
        media  and SOFTWARE documentation provided by HCC  represents  an
        accurate manufacture of HCC's products, and HCC will replace  any
        material found to be defective or damaged, without charge, for  a
        period  of ninety (90) days from the date of USER's  purchase  of
        such  products.  HCC makes no additional warranties with  respect
        to  the  SOFTWARE.  HCC does not warrant that the  SOFTWARE  will
        meet  any  particular  requirements of  USER.   HCC  specifically
        denies any liability for any damages, whether incidental or con-
        sequential, resulting from the use of this SOFTWARE.
 
        Section  4. - Transfer of License:  This agreement,  the  license
        granted  hereunder, and the SOFTWARE itself, may not be  assigned
        or  transferred by the USER to any other party without the  prior
        written  consent of HCC.  No right to reproduce the  SOFTWARE  or
        it's accompanying documentation is granted to the USER.
 
        Section  5.  - Scope of this agreement:  USER  acknowledges  that
        he/she  is receiving only a limited license to use  the  SOFTWARE
        and  related  documentation, and that HCC retains title  and  all
        other proprietary rights to all SOFTWARE and documentation.
Section 6. - USER acknowledgment:  This agreement shall be effec-
        tive upon receipt of a signed "End User Agreement Acknowledgment"
        (attached).  This  agreement  constitutes  the  entire  agreement
        between the parties, and supersedes any prior agreements.
 
 

        END USER AGREEMENT ACKNOWLEDGMENT
 
          The  undersigned  End User of  HEARTLAND  COMPUTER  CONSULTANTS Genysys 2000, and Genpor-7 Systems computer program hereby  acknowledges that he or she has read and fully understands the terms of HEARTLAND  COMPUTER  CONSULTANTS  End User Agreement,  the  terms  and  conditions of which are hereby acknowledged.
 
          The undersigned hereby agrees that by signing this document  he
        or  she becomes a party to said End User Agreement and agrees  to
        be  bound  by all terms, conditions,  and  obligations  contained
        herein.
